Our capabilities in our chosen fields rival those of larger firms, but we do not see ourselves as a replacement for Big Law. We’re the alternative.

Tax

You can’t avoid tax, but experience can soften the sound of its bark and diminish the size of its bite. Our integrated approach – combining sound business knowledge with substantial expertise in taxation – allows us to achieve desired results for our clients in the most efficient ways possible. For a small firm, we are uniquely qualified in the area of tax: Two of our partners hold an LLM in taxation, and two of our partners are CPAs who have practiced public accounting with what were, at the time, two of the Big Eight firms.

Business Tax Planning

Our goal is to help clients structure business and legal strategies while minimizing tax costs. To do this we counsel clients regarding federal, state and local tax issues and develop tax solutions for all business cycles.

Real Estate Tax

We assist clients with negotiating and drafting tax provisions in partnership and LLC operating agreements, structuring forward and reverse 1031 like-kind exchanges and assisting with other tax planning objectives in connection with commercial real estate projects.

International Tax

Wall Esleeck Babcock advises businesses on the United States tax consequences of cross-border transactions, including both inbound and outbound transactions and international expansion plans.

Estate Tax Planning

Our estate tax planning practice includes complex estate planning, business continuation planning, charitable giving, family limited partnerships and family limited liability companies, and the use of multiple types of trusts to help achieve our clients’ wealth transfer goals while minimizing the impact of estate taxes.

State and Local Tax

We advise clients regarding the multi-state income tax, sales and use tax and transfer tax consequences of business transactions and help structure those transactions to minimize the tax consequences. We also counsel clients on ways to restructure existing operations to minimize state taxes and qualify for state and local tax credits and incentives.

Tax Controversy

Wall Esleeck Babcock represents clients in audits, examinations and disputes involving federal, state and local tax liabilities, including:

  • Federal and state income taxes
  • Sales taxes
  • Payroll taxes
  • Business taxes
  • Fiduciary, gift and estate taxes
