The attorneys of Wall Esleeck
Babcock offer years of real estate experience representing
parties buying, selling, leasing and developing all types of
properties, including work with a wide variety of business and
not-for-profit entities. Our firm provides extensive commercial
real estate services, including lease structuring, negotiating
and drafting leases for commercial real estate at all levels.
Our attorneys have extensive experience in negotiating and
drafting contracts for the acquisition of both raw land and
improved property, structuring, creating and organizing the
appropriate entity for owning the property, examination and
analysis of all matters related to title to property,
negotiating the financing for the acquisition and development of
property, organizing and conducting closings of the purchase and
financing of the property and preparing all relevant documents.
The attorneys at Wall Esleeck Babcock have represented both
landlords and tenants, whether individuals or corporations. Our
representation includes both landlords and tenants involved in
the leasing of commercial office space, retail space and
industrial space.
Our attorneys have extensive experience in preparing and
negotiating not only leases, but all related documents including
tenant and landlord estoppel certificates, subordination,
non-disturbance and attornment agreements, and other documents
related to the leasing of both raw land and improved property,
including, but not limited to, the preparation of the leased
property for its use by the tenant.
The attorneys at Wall Esleeck Babcock LLP also have extensive
experience in conducting tax-deferred exchanges (commonly
referred to as “tax-free exchanges”) which allow sellers to
defer payment of capital gain taxes on the proceeds received
from the sale of property under certain circumstances. In
certain instances, these transactions require careful
structuring to ensure compliance with applicable rules and
regulations in order to avoid negative and potentially
unanticipated tax consequences.
